Governance & Leadership
The Gallery Trust is governed through a clearly defined structure that ensures accountability, strategic oversight, and effective leadership across all its operations.
Every action taken within the Trust’s governance framework supports its vision, values, and charitable objective: “to advance for the public benefit education in the United Kingdom.” Each tier of governance has distinct responsibilities to ensure transparency and prevent conflicts of interest.
Members
Members play a primarily constitutional role. They are responsible for upholding the charitable purpose of the Trust and holding the Board of Trustees to account for effective governance and performance. As the custodians of The Gallery Trust, Members have key powers including the appointment and removal of Trustees.
Trustees
The Board of Trustees is legally responsible for the Trust’s strategic direction, educational outcomes, overall performance, and financial oversight. The Board ensures that the Trust complies with its statutory duties and operates in line with Department for Education guidance, company law, and charity law.
Committees
The Board of Trustees delegates certain responsibilities to committees, which report back to the Board. These delegations are set out in the Trust’s Scheme of Delegation.
Committees include:
- Finance and Personnel Committee
- Schools and Education Committee
- Audit and Risk Committee
Each academy within the Trust has a Local Academy Board (LAB). These LABs act as committees of the Board and represent key stakeholders: staff, parents, carers, and the wider community. They ensure that local views are considered in strategic decision-making.
Where significant support and improvement are needed, a Rapid Improvement Board (RIB) may be established. This temporary governance body provides enhanced support and resources to accelerate progress. Once sufficient improvement is achieved, the RIB is replaced by a Local Academy Board.
Terms of Reference for Governance Committees
Each governance committee operates under a Terms of Reference document, outlining its duties and responsibilities. These are reviewed annually at the start of the academic year.
